Acceptance

By accessing and using our software, tools, or website (collectively, “Services”), you expressly agree that you have read and agree to be bound by the following terms and conditions (the “Terms”) as well as all applicable laws and regulations, and any future updates. You also agree that you are 18 years or older and legally able to enter into a binding contract.

No agency, partnership, joint venture, or other relationship is intended or created by your access to or use of the Services.

You may not assign or delegate any rights or obligations under these Terms, and any purported assignment or delegation by you shall be null and void. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, or to any affiliate as part of a corporate reorganization.

If you do not agree with or accept any of these terms, you should cease accessing or using the Services immediately.

Modification

Vidmud reserves the right to update these terms and conditions, the information, and the services mentioned at any time, at its sole discretion, without prior notice. All of these changes shall be effective immediately upon posting, unless a longer period is required by applicable law. If you do not agree to such changes, please stop using the Services and cancel your account, if applicable. Your access to or use of the Services after Vidmud has made such revisions constitutes your acceptance of the revised Terms of Service. To the extent permitted by law, we are not liable to you, any third party, or your account for any modification, suspension, or interruption of the Services.

Who we are

Vidmud provides the tools to edit images and videos with cutting-edge technology. It edits and enhances your videos and photos with AI, turns still visuals into animations, and applies trendy effects. Craft every detail with perfection easily on Vidmud AI. Besides local online processing, we also offer an offline version. Vidmud develops desktop software designed for local, offline processing. Media editing and enhancement occur on the user's computer, and files remain under the user's control. Vidmud will not store any input.

Account Registration

Vidmud provides different Services to you via the website and the Vidmud products. Services are available upon registration. You agree to provide truthful and accurate account information, including but not limited to a valid email address and password (collectively, your “Account Information”). You may not be required to provide some or all of the Account Information if you register through one of our social networking partners, such as Google and Microsoft.

By creating or registering an account for using our Services, you represent that you are at least eighteen (18) years of age or that you are a valid legal entity, and that the registration information you have provided is accurate and complete.

You understand that it is your obligation to keep the details of your Vidmud Account Information confidential. All activity under your account is your responsibility. If you ever discover or suspect that someone has accessed your account without your permission, please notify us at support@vidmud.com as soon as possible so that we can revoke your account and replace it with a new one.

You may not use as a username the name of another person or entity that is not lawfully available for use or a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar, or obscene.

License to Use Our Services

Your access to and use of our website/products/ services is subject to these Terms and all applicable laws and regulations. In the course of use, you shall not do any of the following, including but not limited to:

-copy, modify or create derivative works(including plug-ins, unauthorized third party programs etc.) without our authorization;

-sell, rent, lend, publish, or transmit the Software to others in any form;

derive source code by deconstructing software, decompiling, disassembling, or reverse engineering;

-develop new products based on our products;

-provide product data processing services, application services, or commercial sharing to any third parties;

-impersonate, or attempt to impersonate, somebody else using the Services without their authorization, including by providing User Input that you do not have authority to use to create User Output or by providing User Input to attempt to create User Output that impersonates somebody else without their authorization;

-use the output results for model training;

represent that the output was human-generated when it was not;

-infringe our rights in any form or manner without our authorization or infringe the interests of others in the use of our software; use our products or services to engage in illegal and criminal activities that violate social order and morality, violate the privacy, reputation, portrait, intellectual property rights, and other legal rights and interests of others;

as well as any other acts not authorized by our Company.

Any attempts to produce, share, or distribute the above content will result in immediate action to remove all offending content and permanently suspend the associated account.

Use of Software

Any software made available through this website is the copyrighted work of Vidmud. Software that is accompanied by or includes an end-user license agreement may be downloaded or installed only after you agree to the terms of that agreement. If you do not agree to such terms, you may not use the software. The applicable end-user license agreement governing the use of Vidmud software is presented during installation. Acceptance of the end-user license agreement during installation constitutes acceptance of the terms published on this website. Unauthorized duplication or distribution of software may violate applicable laws.

License to Your Content

As part of your use of the Services, you may be able to input, post, upload, and submit information (“User Input”) to the Services, and you may direct the Services to generate and output new content based on your User Input (“User Output”).

You understand and agree that you bear full responsibility for the consequences of uploading and publishing user content, as well as for any user content you submit to the service.

Vidmud reserves the right to prevent or remove certain User Inputs or User Outputs, or impose limits on user content, in its sole discretion.

When you use our Services, you understand and agree:

- You must evaluate Output for accuracy and appropriateness for your use case, including using human review as appropriate, before using or sharing Output from the Services.

- You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them.

- Our Services may provide incomplete, incorrect, or offensive Output that does not represent Vidmud’s views. If Output references any third-party products or services, it doesn’t mean the third party endorses or is affiliated with Vidmud.

Term and Termination

These Terms take effect when you first access the Services and remain in effect until terminated. You may terminate these Terms at any time by discontinuing the use of the Services and Outputs and deleting your account, if any, via your account settings. We may terminate or suspend your use of the Services immediately and without notice for any reason, including if you violate, or if we reasonably suspect in our sole discretion that you may have violated, the Terms.

Our Intellectual Property

The Services contain intellectual property owned by Vidmud and/or our Representatives, including, without limitation, trademarks, copyrights, proprietary information, and other intellectual property, as well as the vidmud.com name, logo, all designs, text, graphics, other files, and the selection and arrangement thereof, also referred to as the "look and feel." The entirety of the Services is protected by intellectual property law, including international copyright and trademark laws. You are prohibited from modifying, publishing, transmitting, participating in the transfer or sale of, creating derivative works from, distributing, displaying, reproducing or performing, or in any way exploiting in any format whatsoever any of the Services or intellectual property, in whole or in part without our prior written consent, including, without limitation, any and all text, graphics, code, software, video, audio on the Services. We reserve the right to immediately remove you from the Services without notice or refund, or restrict your access to the Services if you violate this term.

Payment

Types of Purchases:
-Subscriptions: It may be set on a monthly/yearly basis. The auto-renewal service is introduced on the premise that you have a continuous monthly subscription on our websites/products/service. It is based on your need for auto-renewal and aims to avoid interruption of your paid service caused by overdue renewal.
-One-time credit purchase: We also offer one-time credit packages in different amounts for purchase.

Cancel Subscriptions: Customers can cancel a subscription at any time. When canceling a subscription, all future charges associated with this subscription will be canceled. Customers may notify us of their intent to cancel at any time; your cancellation will be effective at the end of your current billing period. You will not receive a refund; however, your subscription access and/or delivery and accompanying subscriber benefits will continue for the remainder of the current billing period.

Fee changes: Vidmud, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. We will inform you of any change to your Subscription fees in advance to allow you to terminate your Subscription before such changes become effective. Any Subscription fee change will become effective immediately upon publishing, or, if you have an active Subscription, at the end of your then-current Billing Cycle.
Your continuous use of a Subscription after a Subscription fee change comes into effect constitutes your agreement to pay the revised Subscription fee amount.

Refund Policy:1)Reimbursement of non-credit purchases. Vidmud offers a 30-day money-back guarantee on products purchased through the Vidmud online store. You can cancel your order within 30 days of the date of purchase.
2)Credit refunds. The 30-day money-back guarantee only applies if all credits for purchases made within 30 days have not been used. If you spend a credit purchased within 30 days, you will not be able to get a refund.

SOFTWARE UPDATES

Licensor may provide Licensee with Software Updates and/or Content Updates from time to time at no charge during the Term of this Agreement. The Licensor may, at its sole discretion, decide if Licensee can get Software Updates and/or Content Updates free of charge or if the Licensee has to pay for the Updates. "Update" means a new version of the Licensed Software containing technical modifications, updated information, altered functionality, or any other changes that are intended by Licensor to improve or to add, delete, or otherwise modify any aspect of the Licensed Software. "Content Update" shall mean an update of the content used by the Licensed Software that might need to be updated from time to time.

Confidentiality

You may receive access to Confidential Information of Vidmud and other third parties through your use of the Services. You may use Confidential Information only as needed to access or use the Services pursuant to the Terms. You will protect such Confidential Information with reasonable care in a manner at least as protective as you use for your own Confidential Information. If you are required by law or court order to disclose such Confidential Information, you will give reasonable prior written notice to Vidmud and undertake reasonable efforts to limit the sharing of Confidential Information, including assisting Vidmud with challenging such a request if possible.

Information should be treated as “Confidential Information’’ if it is designated as such by Vidmud or the third-party owner or if it should reasonably be considered confidential under the circumstances. When in doubt, information should be treated as Confidential Information.

Termination of Your Account

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:

1. You breached these Terms or our Privacy Policy.

2. We must do so to comply with the law.

3. Your use of our Services could cause risk or harm to Vidmud, our users, or anyone else.

If you believe we have suspended or terminated your account in error, you can contact us via support@vidmud.com.

Discontinuation of Services

We may decide to discontinue our Services, but if we do, we will give you advance notice and a refund for any prepaid, unused Services.

Copyright Complaints

If you believe that your intellectual property rights have been infringed by a user of the Services, please contact us at support@vidmud.com. We may remove content alleged to be infringing and may terminate use of the Services by infringers.

Claims concerning copyright infringement must include the following information:

1. A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest;

2. A description of the copyrighted work that you claim has been infringed upon;

3. A description of where the allegedly infringing material is located on our site so we can find it;

4. Your address, telephone number, and e-mail address;

5. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

6. A statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.

“AS IS” BASIS

THE WEBSITE, THE VIDMUD APPLICATIONS, AND THE SERVICES (INCLUDING ALL THEIR CONTENT) ARE PROVIDED TO YOU “AS IS.” VIDMUD IS NOT RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, TIMELINESS, DELETION, OR MISDELIVERY OF INFORMATION, CONTENT, COMMUNICATIONS, OR PERSONAL PREFERENCES.

WARRANTY DISCLAIMER

YOUR USE OF THE SERVICES OR CONTENT IS SOLELY AT YOUR DISCRETION AND RESPONSIBILITY. THE SERVICES, INCLUDING VIDMUD CONTENT, ARE PROVIDED ON AN "AS AVAILABLE" AND "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE EXTENT APPLICABLE BY LAW, IN NO EVENT SHALL VIDMUD BE LIABLE FOR THE SERVICES, VIDMUD'S CONTENT, OR USER CONTENT, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF QUALIFICATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, DEALABILITY, OR PERFORMANCE.

YOUR INFORMATION

YOU ACKNOWLEDGE THAT YOUR SUBMISSION OF ANY INFORMATION ON THE WEBSITE OR VIA THE VIDMUD APPLICATIONS IS AT YOUR OWN RISK. VIDMUD DOES NOT ASSUME ANY LIABILITY TO YOU WITH REGARD TO ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.

THIRD PARTY CONTENT

WE DO NOT MONITOR OR REVIEW THE CONTENT OF THIRD PARTIES’ WEBSITES OR SERVICES THAT ARE LINKED TO OR ACCESSIBLE FROM THE SERVICES.

LIMITATIONS OF LIABILITY

UNDER NO CIRCUMSTANCES ARE WE, OUR AFFILIATES, OR OUR SUPPLIERS LIABLE TO YOU FOR ANY: (A) INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES; (B) THEFT OF PERSONALLY IDENTIFIABLE INFORMATION OR COST OF PROCURING SUBSTITUTE SOFTWARE OR SERVICES, AND (C) DAMAGES FOR LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF PERSONNEL SALARIES, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOSS OF DATA, OR NEGLIGENCE OF ANY KIND, OR FOR ANY OTHER NONDIRECT DAMAGE OR LOSS.

IN NO EVENT WILL OUR, OUR AFFILIATES’, OR OUR SUPPLIERS’ AGGREGATE LIABILITY TO YOU FOR DIRECT DAMAGES EXCEED THE PRICE YOU PAID FOR THE APPLICABLE SOFTWARE OR SERVICES (OR THE EQUIVALENT AMOUNT IN NATIONAL CURRENCY).

INDENMNIFICATION

You agree to indemnify, defend, and hold Vidmud harmless from and against any and all claims, losses, damages, obligations, costs, and claims, including reasonable legal fees and costs incurred in connection with:

-Access to and use of the Services, Vidmud Content, and User Content.

-Your misuse, violation of the Services, Terms of Service, Supplemental Terms, applicable laws and regulations, or other third-party rights. Including intellectual property without limitation.

-Claims of User Content that caused damage to third parties.

These protections and indemnifications will continue after these Terms of Service, your use of the Services, or your account is terminated, canceled, or expires.

Governing Law and Dispute Resolution

The formation, effectiveness, interpretation, amendment, supplementation, termination, enforcement, and resolution of disputes regarding these Terms shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China. In the absence of relevant legal provisions, commercial customs or industry practices shall be referred to. Any disputes related to your access or use of our products and involving our company should be resolved through negotiation between the parties.

Vidmud is not responsible for whether the use of the Services is legal or available in other jurisdictions/regions. If you are located in other jurisdictions, use and access the Services at your own discretion. You are also responsible for compliance with all applicable laws. You understand the global nature of the Internet and agree to comply with the laws and regulations of your place regarding online operations and the information available to you. In particular, please comply with all applicable laws regarding communications of technical data exported from the United States or your country of residence.

Most customer concerns can be resolved through Vidmud’s online support center. In the event that Vidnoz is unable to resolve a complaint to your satisfaction, please send a notice to support@vidmud.com.

Error Reporting and Feedback

You may provide us directly at support@vidmud.com with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Platform (“Feedback”).

Force Majeure

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party, including but not limited to any Act of God, terrorism, war, Political insurgency, insurrection, riot, civil unrest, the act of civil or military authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavors to comply with the terms and conditions of any Agreement contained herein. Data loss or damage caused by force majeure will not be compensated.

Final Provisions

If any provision in this TOS is held invalid or unenforceable, that provision shall be construed in a manner consistent with applicable law to reflect the original intent of the provision, and the remaining provisions of this TOS shall remain in full force and effect. Any failure to exercise or enforce any right or the provision of this TOS shall not constitute a waiver of such right or provision.

BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO BE BOUND BY THEM.
