Vidmud Terms of Service

General

By accessing and using Vidmud’s products, services, tools, data, documentation, or website, you explicitly agree that you have read and agreed to be bound by the following terms and conditions. You also agree that you are 18 years or above and legally able to enter into a binding contract. If you do not agree with or accept any of these terms, please stop accessing or using the Services promptly.

Unless stated otherwise, terms used below and in any of our additional agreements or notifications, such as our Privacy Policy, have the following definitions.

  • “Client”, “User”, “You” and “Your” refer to you, the person using Services and accepting the Terms.
  • “Vidmud”, “Ourselves”, “Our”, “We” and "Us" refer to our company, Vidmud, Inc.
  • “Party” and “Parties” refer to both the Client and ourselves, or either the Client or ourselves.

Privacy Policy

Vidmud is committed to protecting your privacy all the time. Your use of Vidmud is also subject to the Privacy Policy. Our Privacy Policy explains how we collect, use and disclose personal information you provide to us when you access and use the Services. Please read and understand the terms of our Privacy Policy as well, before you access and use the Service.

Registration: User Representations

Vidmud provides various services to you through both its website and Vidmud products. These services become fully accessible to you upon registration. You need to provide the information as prompted by the account registration form.

You represent and warrant that:

  1. 1. You are at least eighteen (18) years of age or you have the right and authority to enter into this Agreement, and are fully able and competent to satisfy the terms and conditions of this Agreement.
  2. 2. You provide truthful and accurate account information, including but not limited to a valid email address and password (collectively, your “Account Information”). You may not be required to provide some or all of the Account Information if you register through one of our social networking partners, such as Facebook, LinkedIn, etc.;
  3. 3. You may not use as a username the name of another person or entity that is not lawfully available for use or a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar, or obscene.
  4. 4. You understand that it is your obligation to keep the details of your Vidmud Account Information confidential. All activity under your account is your responsibility; If you ever discover or suspect any potential risks of your account, please reach us via email at support@vidmud right away.
  5. 5. Your use of the Sites and/or Services will comply with all terms of this Agreement and all applicable laws.

Product Description

We strive to depict and present the Site and Service with accuracy. Although we aim for clarity in explaining the Service, we cannot assure that the Site is entirely precise, up-to-date, or free from errors. On occasion, we may correct errors in pricing and descriptions. We retain the right to decline or cancel any order with an incorrect price listing.

License to Use the Services

We grant you a non-exclusive right to access and use the Services in accordance with these Terms. Vidmud retains all rights, titles, and interest in and does not agree to any transfer of title regarding the Services. Under this license, you may not:

  1. 1. Try to decompile or reverse-engineer any software found on Vidmud’s pages
  2. 2. Remove any copyright or proprietary notations from the materials;

This license shall automatically terminate if you violate any of these restrictions and Vidmud may deactivate your account at any time. Upon termination of your viewing of these materials or upon termination of this license, you must destroy all downloaded materials in your possession, whether in electronic or printed format.

Restrictions on Use

The Site is accessible to users around the world, so it is your responsibility to evaluate whether use of the Site, products or services complies with your local laws and regulations. Whenever you use the Site, products or services, you must comply with these Terms and Conditions, applicable laws, regulations and policies. Vidmud reserves the right to seek all remedies available at law and in equity for any violation of these Terms and Conditions and may take appropriate steps to protect the Services from misuse or use to harm others.

As a condition of your use of the Site and any Services, you agree not to:

  • Use the Site for any purpose that is unlawful under applicable law or prohibited by the TOS Terms and Conditions;
  • Defame or disparage any other person, whether legally or physically, or make obscene, derogatory or offensive comments, or otherwise use the Site and/or the Services or the Content thereof in a manner that would bring Vidmud or any third party into disrepute or make Vidmud liable to any third party;
  • Download, post, copy, share, store or distribute pornographic, obscene or explicit information, or any content that contains links to adult websites.
  • Downloading, posting, copying, sharing, storing or distributing content that is derogatory or malicious, such as references to or comments about race, sexual or gender identity or expression, national or ethnic origin, or other specific groups.
  • Send, share or distribute any Content that is excessively repetitive, unwanted, unsolicited or constitutes "spam" or bulk commercial email.
  • Send, post or transmit any unlawful, hateful, threatening, abusive or defamatory content through the Services.
  • Send, post or transmit through the Services any Content that infringes intellectual property rights; violates privacy; or incites violence.
  • Download, upload, post, reproduce or distribute any content protected by copyright or any other proprietary right without the permission of the owner of the proprietary content.
  • Create derivative works from, or in any way exploit, the Site and/or Services or its Content.
  • Use the Site and/or Services to transmit viruses or malware or other similar harmful software code.
  • Attempt to access, probe or connect to computing devices without proper authorization (i.e., any form of "hacking").
  • Attempts to compile, utilize or distribute a list of IP addresses from which Vidmud operates in conjunction with the Services.
  • In any way that could damage, disable, overburden, or impair any Vidmud server or the network(s) connected to any Vidmud server, or interfere with any other party's use and enjoyment of the Site and the Services.
  • Attempt to gain unauthorized access to the Site and/or any Services, other accounts, computer systems or networks connected to any Vidmud server or to any cyber assets and/or services, through hacking, password mining or any other means.

Vidmud reserves the right, in its sole discretion, to take appropriate action in response to violations of these Terms, which may include removing or blocking access to content stored through our Services, suspending a user's use of the Services, or terminating an account without prior notice.

Confidentiality

Information about customers and respective Client Records may be passed on to third parties. However, customer records are regarded as confidential and therefore will not be disclosed to any third party other than our employees, unless required by law, or to the appropriate authorities. Customers have the right to request to see any of their own relevant customer records retained by us and to obtain a copy of them, provided that we have been given reasonable notice of such a request. Where appropriate, we shall provide the client with appropriate copies of written information, handouts or records as part of a mutually agreed contract.

We will not sell, share or rent your personal information to any third party, nor will we use your e-mail address to send unsolicited mail. Any emails sent by us will only relate to the provision of agreed services and products.

Payments

If you wish to purchase any of the products or services offered by the Company ("Payment"), you may be asked to provide certain information in connection with your Payment, including but not limited to, your credit card number, the expiration date of your credit card, and your billing address. You represent and warrant that:

(i) you have the legal right to use your credit card or other payment method to make any payment; and

(ii) the information you provide to us is true, correct and complete. We may use third party services to facilitate and complete payments. By submitting your payment information, you understand that we may share that information with these third parties in accordance with our Privacy Policy. Your payment will not be confirmed until you receive a confirmation email from us or our third party payment service. In particular, we reserve the right to refuse your payment due to unavailability of products or services, or suspected fraud or unauthorized or illegal transactions.

Canceling and Terminating Your Account

You may cancel your account at any time. For paid subscribers, please also see our Refund Policy when requesting to cancel your account.

Vidmud may immediately terminate and/or delete your account (i) if you violate the Terms of Service, or (ii) as set forth in the "Disclaimer of Warranties" section (see "Disclaimer" section below).

Deletion of Offending Accounts

You are prohibited from uploading, recording, generating, or sharing pornographic, violent, or other illegal content. If we discover that your account has generated such content, we will permanently block your account.

Digital Millennium Copyright Act

We respect everyone's intellectual property rights and expect our customers to do the same. We reserve the right to take action in appropriate circumstances to remove or disable allegedly infringing content, as well as to terminate the accounts of users who are infringing on any intellectual property rights of others. If you believe that any content has been uploaded or made available on our Platform that infringes any copyright you own or control, please contact us at support@vidmud and provide the following required information.

  1. 1. Your full legal name and your handwritten or electronic signature.
  2. 2. Identify the copyrighted work(s) that you believe to have been infringed, or, if more than one work is involved, provide a representative list of the copyrighted work(s).
  3. 3. Identify the material link or the precise location where we may find the material that you believe to be infringing.
  4. 4. Provide your e-mail address so that we can contact you if we need to.
  5. 5. Include a statement of copyright lawfulness in the body of the notification.

If you fail to provide the above requested information, your DMCA notice may not be effective. Please note that if you knowingly misrepresent facts, you may be liable for any damages, including costs and attorneys' fees, under Section 512(f) of the DMCA.

Links to Third Party Sites

Certain links contained in the Site and/or Services to other websites of third parties are not under the control of Vidmud. We make no representations or warranties of any kind, express or implied, with respect to the operation of the other sites contained therein. The actual company and product names on these sites may be trademarks of their respective owners. Your access to any website, service or content provided by a third party through our Services does not indicate any relationship between Vidmud and such third party.

Partner Services

From time to time, Vidmud may offer promotional offers for partner services, applications or websites ("Partner Services") as an additional benefit of the Services. The Partner Services are not integrated or merged with our Services, and your interaction with any Partner Service is subject to its own applicable terms. Vidmud will never share your personal information with any Partner Services provider.

Vidmud does not guarantee and is not responsible for the behavior, functionality or content of the Partner Services, nor does it guarantee the compatibility or continued compatibility of the Services with the Partner Services.

Log Files

We use IP addresses to analyze trends, administer the Site, and track user activity. IP addresses are not associated with personally identifiable information. In addition, for system administration, detection of usage patterns, and troubleshooting purposes, our web server automatically logs standard access information, including browser type, access time/open email, requested URL, and referring URL. This information is not shared with third parties and is used internally only on a need-to-know basis. Any personally identifiable information associated with this data will never be used in any manner different from that described above without your express permission.

Intellectual Property Rights

All content ("Information") on our website, including all text, design, layout, software (including any source code) and other works are protected by copyright. The entire content of our website is protected by intellectual property laws, including international copyright and trademark laws. You are prohibited from modifying, publishing, transmitting, participating in the transfer or sale of, distributing, displaying, reproducing or performing, or in any way exploiting, creating derivative works from, or in any way exploiting any of the content or intellectual property rights in the Site or Services. Except as specifically permitted, no part of the Site may be distributed or reproduced in any manner or form without the prior written permission of Vidmud. If you are found to be in violation of this Intellectual Property Policy, we reserve the right to immediately remove you from the Services without refund.

All products and services, including logos and text referenced on this site, are trademarks or intellectual property of Vidmud. The vidmud.com domain and its subdomains are owned and operated by Vidmud.

Your Information

You acknowledge that you submit any information on the Vidmud website or through the Application at your own risk. Vidmud is not responsible for any loss or liability associated with such information.

Third Party Content

Some of the content displayed on the Vidmud Site or through the Vidmud App may contain material belonging to or provided by third parties. You acknowledge that Vidmud is not responsible for such content, products and/or services.

Changes to the Service

We reserve the right, in our sole discretion and without notice, to withdraw or modify our Services, as well as any services or materials we make available through the platform. From time to time, we may restrict your access to certain parts of the Platform or the entire Platform.

Limitation of Liability

In no event shall we, our affiliates, or our suppliers be liable to you for any of the following: (A) indirect, special, incidental, or consequential damages; (B) theft of personally identifiable information or the cost of purchasing substitute software or services, and (C) damages of any kind resulting from loss of profits, loss of goodwill, loss of wages of personnel, work stoppages, computer failures or malfunctions, loss of data, or negligence of any kind, or any other non-direct damage or loss.

Bug Reports and Feedback

You may provide information and feedback about bugs, suggestions for improvements, ideas, questions, complaints, and other matters relating to our Platform directly to us at support@vidmud.

You acknowledge and agree that: (i) you shall not retain, acquire, or claim any intellectual property or other right, title, or interest in the Feedback; (ii) we may use the Feedback to improve the Platform or any other technology; (iii) we may have development ideas similar to the Feedback; (iv) the Feedback does not contain confidential or proprietary information of you or any third party; and (v) we shall not be under any obligation of confidentiality with respect to the Feedback. (v) We will not be under any obligation of confidentiality with respect to the Feedback.

You hereby grant Vidmud and its affiliates an exclusive, transferable, irrevocable, royalty-free, sublicenseable, unrestricted, perpetual right to use (including reproduce, modify, create derivative works of, publish, distribute and commercialize the Feedback in any manner and for any purpose.

Force Majeure

The termination of an agreement or contract entered into as a result of an event beyond its control (including, but not limited to acts of God, terrorism, war, political insurrection, rebellion, riot, civil commotion, acts of civil or military authority, insurrection, earthquakes, floods, or any other natural or man-made event beyond our control) is not reasonably foreseeable. Either party affected by such an event shall immediately notify the other party of this and shall use all reasonable efforts to comply with the terms and conditions of any agreement herein. No compensation will be payable for loss or corruption of data due to force majeure.

Final Provisions

If any provision of this TOS is held to be invalid or unenforceable, that provision shall be construed in a manner consistent with applicable law to reflect the original intent of the provision, and the remaining provisions of this TOS shall remain in full force and effect. The failure to exercise or enforce any right or provision of this TOS shall not constitute a waiver of such right or provision.

Acknowledgment

By using the Services or other services provided by us, you acknowledge that you have read these Terms and agree to be bound by them.

Modification

Vidmud reserves the right to update, amend, or modify these terms and conditions. You can review the most current version of the Terms of Use at any time by visiting this page and by visiting the most current versions of the other pages that are referenced in the Contract.
